Terms of Service
These terms are an agreement between you and Resonate Digital Pte. Ltd. ("we"), the company that operates Oderra. Resonate Digital Pte. Ltd. is a company registered in Singapore (UEN 202514685N), with its registered address at 68 Trevose Crescent, #03-08, Trevose Park, Singapore 298069. Oderra, Fanera and Skopa are brands of Resonate Digital Pte. Ltd. They apply when you create an account, connect a tool, or use Fanera, Skopa or their MCP servers in any other way. If you use Oderra for a company, you accept them on its behalf and confirm you are allowed to.
1. What Oderra does
Oderra provides two agents. Fanera, the selling agent, answers briefs for a publisher from its products, prices and rules. Skopa, the buying agent, sends briefs for an advertiser or an agency, gathers proposals and negotiates within its limits. Both speak AdCP, an open protocol, and write what is agreed to a shared record.
The agents act within the rules you set. What commits money or inventory waits for the confirmation your rules require. You remain responsible for the rules you set, the plans you confirm and what you tell the other side.
Oderra is not a party to the media deal. The contract for the media is between the buyer and the publisher. Oderra takes no share of the media, does not hold or pass on media payments, and does not guarantee delivery, results or payment by the other side.
2. Your account and organisation
You must be at least 18 and use Oderra for your work. Give accurate details when you sign up and keep your sign-in details safe.
The person who creates an organisation manages it: who joins, with which role, which tools are connected and which plan applies. You are responsible for what happens in your organisation, including what is done through its MCP connections and keys.
3. Connecting tools
When you connect a tool, such as an ad server, a rate card, a planning tool or your own agent, you authorise Oderra to use it within the permissions shown when you connect.
Fanera reads your inventory, avails and delivery. It writes to your ad server only to book a plan, or a change to it, that your rules or a person on your team have confirmed. Skopa reads your planning tools and writes nothing to them unless you ask it to.
Connect only the tools and data you are allowed to share. You can disconnect a tool at any time; the agents stop using it, and the record keeps what was already agreed.
Keys and tokens you give us are used only to reach the tool they belong to. Only our servers can read them, never your browser.
4. Your data
Your data stays yours. This covers your catalogue, prices, rules, briefs, budgets, the plans and the delivery data, and what you type in a conversation with an agent.
You allow us to process it only to provide Oderra to you, keep it secure and support you. We do not sell it, and we do not use it to favour one side over the other.
Your data is not used to train language models, by us or by our model provider.
The confirmed plan and its delivery are shared with the other side of the deal, because the record belongs to both. Nothing else is shared with the other side without your rules allowing it.

5. Acceptable use
Do not use Oderra to break the law, to sell inventory you are not authorised to sell, to send briefs for an advertiser you do not represent, or to process data you have no right to share.
Do not try to access other organisations, copy or reverse engineer Oderra, get around usage limits, or disrupt the service or the agents of other parties.
We may suspend access that breaks these rules, and will tell you why unless the law prevents it.
6. Credits and payment
Fanera and Skopa are paid with credits, at the price shown on the Pricing page before you pay. One credit pays for one action an agent completes for you: a brief answered or sent, with its first round trip of negotiation; each further round trip; proposals compared; a make-good proposed; for buyers, each version of a creative beyond the third on one line; and, in the app, every two questions beyond the first three on one action. An action the agent cannot complete uses nothing. Delivery reports, creative checks for publishers, the record and the billable statement are free.
There is no trial. Every new organisation receives 10 free credits. After that, you buy credits in the quantity you choose, from 10. You can also subscribe: a subscription adds a set number of credits each month and renews automatically until you cancel it; cancelling stops the next renewal and keeps the credits already added.
Credits are valid for 12 months from the day they are added, and the oldest are used first. Credits bought are not refunded, except where the law requires it.
A price change applies only to credits bought, or subscription periods started, after it. Prices exclude taxes unless stated otherwise. Payments are processed by Stripe and appear under the name Oderra.
Enterprise plans, Forward Deployment and managed services are agreed in an order form. Where it differs from these terms, the order form applies.
7. Changes to Oderra
Oderra will change as we improve it and as AdCP evolves. We will tell you before a change that removes something you rely on or reduces what your plan includes.
8. Our rights
Oderra, Fanera, Skopa, their software and content belong to us or our licensors. These terms give you the right to use them while your account is active, and nothing more.
If you send us feedback, we may use it without owing you anything.
9. Confidentiality
Each of us keeps the other's non-public information confidential and uses it only for what these terms allow.
10. What we promise, and what we do not
We provide Oderra with reasonable skill and care. Apart from that, and to the extent the law allows, Oderra is provided as it is: the agents depend on the data and the rules available to them, and the other side's systems, and can be incomplete or wrong.
11. Liability
Neither of us is liable for indirect or consequential loss, or for lost profits, revenue, media or deals.
Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim, or 10 US dollars if you paid nothing.
Nothing in these terms limits liability that the law does not allow to be limited.
12. Ending
You can close your organisation at any time. We can end these terms if you seriously break them and do not fix it after notice.
When an organisation closes, we delete its data within 30 days, except billing records the law requires us to keep and records of deals the other side still relies on.
13. Governing law
These terms are governed by the laws of Singapore. Disputes go to the courts of Singapore, which have exclusive jurisdiction.
14. Changes to these terms, and contact
By creating an account, or by continuing past a screen that says you accept these terms, you agree to them. This version takes effect on the date shown at the top of this page.
We will tell you at least 30 days before changes to these terms take effect. If you keep using Oderra after that, the new terms apply; if you do not agree, you can close your organisation before then.
